Business Terms of Service

These Business Terms of Service (“Business Terms”) are a legal agreement between you and Gen Shipping Central LLC (“Gen Shipping Central,” “Model Me,” “we,” “our,” or “us”) and govern your access to and use of the business-facing parts of Model Me, including the business dashboard, onboarding, permission-request tools, customer access tools, photo request tools, organizational features, and related services (collectively, the “Business Service”).
By creating a business account, creating an organization, sending approval links, accessing approved customer data, purchasing a subscription, or otherwise using the Business Service, you agree to these Business Terms and our Privacy Policy. If you do not agree, do not use the Business Service.
1. Eligibility and Authority
You represent and warrant that:
- you are at least 18 years old;
- you are authorized to act on behalf of your business or organization;
- you have authority to bind that business or organization to these Business Terms; and
- your use of the Business Service complies with applicable law.
2. Business Accounts and Organizations
To use the Business Service, you may need to sign in using Google OAuth or another supported method and create or join a business organization.
A business account may include:
- business onboarding;
- organization creation;
- owner/admin membership; and
- team roles and permissions, if offered.
A single Google-linked account may be permitted to hold both a consumer role and a business role.
You are responsible for:
- the security of your account credentials;
- all activity under your business account;
- maintaining accurate account and business information; and
- limiting access to authorized personnel only.
3. Business Onboarding Data
As part of onboarding, you may provide business information such as:
- business name;
- description;
- website;
- intended use;
- business type;
- integration method; and
- onboarding questionnaire responses.
You represent and warrant that this information is accurate and that you will keep it reasonably current.
4. Permission Request Workflow
The Business Service may allow you to create unique customer approval links and related requests. You may be able to include information such as:
- customer name or reference;
- request reason; and
- internal note.
You are solely responsible for the content of the requests you create and the lawfulness of how you use the workflow.
You may not use approval links in a deceptive, abusive, misleading, or unlawful way.
5. Access to Consumer Data
Your business may access a consumer’s approved photos and related approved information only when:
- the consumer has affirmatively granted access through the Service; and
- that access remains active.
Access may be provided through the dashboard, time-limited signed URLs, or other controlled methods that we make available.
You may only use consumer data for the disclosed and permitted purpose associated with that relationship and in compliance with applicable law.
6. Business Restrictions on Consumer Data
You agree that you will not:
- access a consumer’s data without permission;
- use consumer data beyond the scope of the consumer’s authorization;
- sell, rent, sublicense, share, broker, or commercially exploit consumer data except as expressly permitted through the Service and your disclosed use;
- scrape, bulk copy, or build separate datasets from consumer data unless expressly allowed by us in writing;
- attempt to bypass signed URL limits, access windows, or security controls;
- retain or use consumer data after access has been revoked, expired, canceled, or terminated, except as required by law; or
- use consumer data in a discriminatory, deceptive, unlawful, or harmful way.
You are responsible for your own downstream handling of any consumer data you lawfully access.
7. Requests for More Photos
The Business Service may allow you to request more photos from a consumer and include a message and suggested photo types.
You agree that such requests will be:
- respectful;
- accurate;
- relevant to your stated use; and
- lawful and not misleading.
A consumer is never required to respond.
8. Relationship Management and Disconnect
You may disconnect a customer relationship through the Business Service. Once disconnected, your access to that consumer’s data through the Service ends immediately or as soon as technically processed.
We may also revoke or disable access if the consumer revokes permission, your request expires, your account is suspended, or we detect misuse.
9. Business Compliance Obligations
You are responsible for ensuring that your use of the Business Service and any consumer data accessed through it complies with all applicable laws, including privacy, advertising, intellectual property, AI, consumer protection, and data security laws.
You are also responsible for internal access controls within your organization.
10. Subscription, Billing, and Payment
Certain business features may require payment. By purchasing a subscription or paid plan, you agree to pay all applicable fees, taxes, and charges.
Unless otherwise stated:
- fees are in U.S. dollars;
- subscriptions renew automatically until canceled;
- you authorize us and our payment processor to charge your payment method; and
- fees are non-refundable except as required by law or as expressly stated by us.
We may change pricing, features, or plans prospectively.
If payment fails or your account becomes delinquent, we may suspend or terminate your access to the Business Service.
11. Data and Service Availability
We may modify, suspend, or discontinue any feature of the Business Service at any time. We are not liable for any modification, suspension, discontinuation, or loss of access, except as required by law.
You are responsible for your own business decisions, internal records, and compliance obligations.
12. Ownership and License
We own all rights in the Business Service, including the platform, software, workflows, interfaces, branding, and underlying technology.
Subject to your compliance with these Business Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Business Service for your internal business purposes.
You may not:
- copy, modify, reverse engineer, decompile, or create derivative works from the Business Service;
- resell or sublicense the Business Service; or
- interfere with or bypass any security or access controls.
13. Feedback
If you provide feedback, suggestions, or ideas about the Business Service, you grant us a perpetual, irrevocable, worldwide, royalty-free, fully paid license to use that feedback for any lawful purpose without restriction or compensation.
14. Monitoring and Enforcement
We may monitor use of the Business Service for security, fraud prevention, abuse detection, service quality, and compliance purposes.
We may investigate suspected misuse and take action including:
- suspending approval links;
- disabling access;
- removing business data;
- suspending or terminating accounts; and
- preserving records for legal or security reasons.
15. Confidentiality and Security
If you access consumer data through the Business Service, you must use reasonable administrative, technical, and organizational safeguards to protect it from unauthorized access, disclosure, misuse, or loss.
You must promptly notify us at adi@genshippingcentral.com if you become aware of any unauthorized access, misuse, or security incident involving consumer data accessed through the Business Service.
16. Termination
You may stop using the Business Service at any time.
We may suspend or terminate your access if:
- you violate these Business Terms;
- you misuse consumer data;
- you fail to pay applicable fees;
- your use creates risk, harm, or legal exposure; or
- we discontinue the Business Service.
Upon termination, your right to use the Business Service ends immediately.
17. Effect of Account Deletion
If your business-side account is deleted, we may:
- delete business profile information;
- remove memberships;
- revoke permission grants and access links;
- delete or disable pending requests;
- clean up related photo-request records; and
- delete the underlying authentication user where applicable.
Limited data may remain in backups, logs, billing records, dispute files, fraud systems, or where required by law.
18. Disclaimer of Warranties
THE BUSINESS SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.”
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ACCURACY.
We do not guarantee uninterrupted service, permanent data availability, or that any approval flow, access relationship, or signed URL will operate without error.
19. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, GEN SHIPPING CENTRAL LLC AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL ARISING OUT OF OR RELATED TO THE BUSINESS SERVICE OR THESE BUSINESS TERMS.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE BUSINESS SERVICE OR THESE BUSINESS TERMS WILL NOT EXCEED THE GREATER OF:
- the amount your organization paid us in the 12 months before the event giving rise to the claim; or
- $500.
20. Indemnification
You agree to defend, indemnify, and hold harmless Gen Shipping Central LLC and its affiliates, officers, directors, employees, contractors, licensors, and service providers from and against claims, losses, liabilities, damages, costs, and expenses, including reasonable attorneys’ fees, arising from or related to:
- your use of the Business Service;
- your organization’s acts or omissions;
- your misuse of consumer data;
- your violation of these Business Terms; or
- your violation of any law or third-party rights.
21. Dispute Resolution
Please read this section carefully because it requires most disputes to be resolved by binding individual arbitration and includes a waiver of class actions and jury trials.
Any dispute, claim, or controversy arising out of or relating to these Business Terms or the Business Service will be resolved by binding individual arbitration, except that either party may bring an individual claim in small claims court if it qualifies.
You and Gen Shipping Central LLC agree to waive any right to a jury trial and any right to participate in a class action, class arbitration, or other representative proceeding.
The arbitration will be conducted in San Francisco County, California, unless applicable law requires otherwise. The Federal Arbitration Act will govern the interpretation and enforcement of this section.
If any part of this arbitration section is found unenforceable as to a particular claim or remedy, then that claim or remedy will proceed in the state or federal courts located in San Francisco County, California, and you consent to their jurisdiction and venue for that limited purpose.
22. Governing Law
These Business Terms are governed by the laws of the State of California, without regard to conflict of laws principles, except where federal law applies.
23. Changes to These Business Terms
We may update these Business Terms from time to time. If we make material changes, we will post the updated version and revise the “Last Updated” date. Your continued use of the Business Service after the updated terms become effective means you accept the revised terms.
